Please review Problem 5 on page 467 in the supplement. You represent Ben, the buyer of Blackacre. Sara the seller has her own attorney, and her attorney has proposed three provisions for the agreement as outlined in Subpart A. Please draft either a letter or memo to Ben advising him. Please answer all THREE questions (a), (b) and (c) on Page 468, analyzing the seller-proposed Paragraphs 8, 14, and 24 provide the reasons WHY you would revise any or all of them. Then move on to Subpart B, following the execution of the contract which details which provisions were included and excluded from the final version. In the same letter or memo, please answer all FIVE questions in Subpart B starting on page 470. In your answer, DISREGARD Paragraph 4 which talks about financing issues regarding Whitacre. Please cite any applicable cases from the reading assignments in Korngold. Clarification: I have received several inquiries asking whether there was an error in the assignment (because if you subtract Paragraph 4 then this leaves 6 questions). The answer is no because paragraphs 1-7 are not questions; they are factual paragraphs, so if you remove paragraph 4 from consideration you are still left with 6 paragraphs listing the facts to analyze in your memo or letter to Ben.
